“As an independent Board member of Cutera, I have always believed that a seamless, collaborative, and orderly CEO succession is in the best interest of all Cutera shareholders, employees, and other stakeholders. I further believe that this type of succession would have best been executed with the continuation of David Mowry as CEO and Dan Plants as Executive Chairman of the Board. I am disappointed that achieving this kind of succession appears to no longer be possible and that the situation has devolved in the way it has. Despite this disappointment, Cutera shareholders can rest assured that I remain acutely focused on delivering on my fiduciary responsibility to represent their best interests, and hope that the Cutera Board can reach a swift and amicable resolution.”
About Joseph Whitters, Independent Board Member at Cutera
Joseph E. Whitters, Director, has served as a member of Cutera’s Board since February 2019. He has been an advisor/consultant to Frazier Healthcare Partners, a private equity firm, since 2005. From 1986 to 2005, Mr. Whitters served in various capacities with First Health Group Corp., a publicly traded managed care company, and for most of his tenure he served as the company’s Chief Financial Officer before his last role as an Executive Vice President. He also previously served in a variety of finance roles at United Healthcare Corp. and Overland Express, and he began his career in public accounting with Peat Marwick (now KPMG). Mr. Whitters currently serves as a member of the board of directors of publicly-traded Accuray, Inc., where he serves as Chairman of the Board, and Spark Networks LE. Previously, Mr. Whitters served on the boards of directors and audit committees of various public companies, including Analogic Corporation, Air Methods Corporation, Infusystems and PRGX Global, Inc. Mr. Whitters has also been an advisor or board member of several private companies. Mr. Whitters holds a B.A: in Accounting from Luther College.
